Karyl Agudo Argamasilla, Business and Real Estate Transactions

Karyl focuses on structuring and executing large commercial business and real estate transactions.

Karyl has experience representing developers, sellers, purchasers, landlords and tenants, lenders and companies in engagements such as acquisition, development, operation and disposition of property, negotiating and drafting of purchase and sale agreements,  loan documentation, leases, and title examinations, among others. She also prepares and registers condominiums (and conversions) with the Florida Division of Land Sales Condominiums and Mobile Homes and with the U.S. Department of Housing and Urban Development and handles compliance with both agencies. Karyl also acts as corporate counsel for companies and handles all aspects of entity structuring, formation, documentation, acquisition, disposition and advises clients on business strategies for their corporate affairs.

Karyl serves the community volunteering in various capacities. Of particular note is her involvement in T.R.U.T.H. Missions.  Karyl is a co-founder and coordinator for T.R.U.T.H. Missions, a fundraising organization that has builds aqueducts and schools for the poor in the Dominican Republic.

From Karyl’s Case Files:

A Pesty Deal Closing:  I was able to save a client's deal at the 11th hour before the lender pulled funding due to environmental concerns with the property.

I had learned that the pesticide concentration amounts on the soil were not toxic but in fact were necessary to the type of agriculture being performed on the land. Furthermore, I was able to assure the lender that the pesticides were registered with the State of Florida and the EPA and the particular amounts fell well below their regulatory guidelines. The information was crucial in obtaining the financing for my client.

Time is the Essence:  An investor group of local and foreign individuals and corporate entities, purchasing multiple franchise operations, were faced with a tight time frame to successfully complete the closing. I was able to help them select and set up their corporate structure, secure the financing with a global lender, and conduct the closing with the national franchise operator to satisfy all of their needs prior to closing.
